1. Acceptance of Terms

By accessing or using the Pansoko marketplace platform ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Platform.

These Terms apply to all visitors, users, vendors, and others who access or use the Platform. Additional terms may apply to specific services or features.

2. Vendor Terms and Conditions

Vendors on Pansoko agree to the following terms in addition to the general terms:

Vendors are responsible for all content they upload to the Platform, including product descriptions, images, and pricing information.

3. Subscription and Access Rights

Pansoko operates on a subscription model for vendors. Access to vendor features is contingent upon maintaining an active subscription.

3. Subscription Plans and Billing

Pansoko offers different subscription tiers with varying features

All subscription fees are non-refundable except as required by law. Pansoko reserves the right to change subscription fees with 30 days notice to vendors.

4. User Obligations and Conduct

All users of the Pansoko platform agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Not engage in fraudulent, deceptive, or illegal activities
• Not attempt to circumvent Platform security or access controls
• Respect intellectual property rights of others
• Not engage in spamming or unauthorized advertising

5. Content Ownership and Licensing

Vendors retain ownership of the content they upload to Pansoko. However, by uploading content, vendors grant Pansoko a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute the content on the Platform.

Pansoko retains all rights to the Platform itself, including all software, design, and branding elements.

6. Limitation of Liability

Pansoko provides the Platform "as is" and "as available" without warranties of any kind, either express or implied.

To the maximum extent permitted by law, Pansoko shall not be liable for:

1. Indirect, incidental, or consequential damages
2. Loss of profits, data, or business opportunities
3. Damages resulting from Platform downtime or interruptions
4. Disputes between vendors and customers
5. Actions or inactions of third parties

7. Modifications to Terms

Pansoko reserves the right to modify these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this page.

Continued use of the Platform after changes constitutes acceptance of the modified Terms. Vendors will be notified of significant changes via email or Platform notification.

8. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or use of the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
